Amsterdam-based AI cloud provider Nebius Group has significantly upsized a critical debt offering to $5 billion, underscoring the immense capital required to compete in the global artificial intelligence infrastructure race. The company increased the total from an initially planned $4.5 billion, signaling robust investor appetite for financing its aggressive growth strategy. The funds are explicitly targeted at scaling data center capacity and computing power to support its full-stack AI cloud platform.
The structured offering consists of $3 billion in private convertible notes due in 2030 and a further $2 billion in notes maturing in 2034. Furthermore, the company disclosed that purchasers hold options to acquire an additional $450 million of the 2030 notes and $300 million of the 2034 notes, potentially bringing the total raise to $5.75 billion. In a concurrent transaction, Nebius will separately exchange $800 million of existing debt for approximately 15.8 million Class A shares with certain noteholders, a move that adjusts its capital structure.
This massive capital injection is directed toward a clear and costly goal: procuring the advanced hardware, notably GPUs, and building the physical infrastructure necessary to host and develop powerful AI models. The scale of investment is evident in the company's recent financials; while Nebius ended June with over $8 billion in cash, it expended $5.66 billion on property, equipment, and intangible assets in the second quarter alone. The market reaction was initially cautious, with shares closing nearly 10% lower on the announcement day, reflecting investor scrutiny over the heavy spending and dilution.
The strategic financing positions Nebius to accelerate its build-out in a sector dominated by hyperscalers like Microsoft Azure, Google Cloud, and AWS. As enterprise demand for generative AI services soars, specialized providers are racing to secure the billions of dollars needed for next-generation data centers and scarce semiconductor components.
